Welcome to ZworkSpace. These Terms of Use and Membership Agreement (“Terms”) govern your use of the ZworkSpace website, member portal, and workspace services. These Terms apply to all users of the ZworkSpace website, member portal, and physical coworking facilities.
By accessing the website, creating an account, using ZworkSpace facilities, or using any services provided by ZworkSpace, you agree to be bound by these Terms.
If you do not agree with these Terms, you may not access or use the Services.
1. Definitions
“ZworkSpace,” “we,” “our,” or “us” refers to ZworkSpace Inc.
“Member” refers to any individual or company that has entered into a license agreement or membership agreement with ZworkSpace.
“Services” refers to coworking spaces, offices, virtual offices, mail services, meeting rooms, internet access, and related services.
“Site” refers to the ZworkSpace website and member portal.
2. Nature of Membership (License – Not a Lease)
Membership at ZworkSpace grants a revocable license to use workspace facilities. It does not create a landlord-tenant relationship.
Members acknowledge that:
- no leasehold interest is created
- membership does not grant exclusive possession of real property unless otherwise stated in a written agreement
- ZworkSpace retains full control over the premises
ZworkSpace reserves the right to relocate members within the facility if reasonably necessary.
3. Eligibility and Accounts
Certain features of the Site and Services require an account.
Members agree to:
- provide accurate information
- maintain the confidentiality of login credentials
- update account information when necessary
Members are responsible for all activity under their accounts.
4. Fees and Payments
Membership fees and service charges are governed by the member’s License Agreement.
ZworkSpace may accept payments via:
- credit card
- debit card
- ACH bank transfer
By submitting payment information, you authorize ZworkSpace to charge your payment method for applicable fees.
Additional terms:
- late payments may incur 1.5% monthly interest or the maximum permitted by law
- declined payments may result in additional fees
- ZworkSpace may suspend services for unpaid balances
Members are responsible for any applicable taxes.
5. Workspace Rules and Conduct
ZworkSpace is a shared professional environment. Members agree to behave respectfully and maintain a productive atmosphere.
Members must:
- maintain reasonable noise levels
- respect shared spaces
- keep work areas clean
- comply with all posted building policies
Disruptive behavior may result in suspension or termination of membership.
6. Internet and Technology Use
ZworkSpace provides internet access as a convenience.
Members agree not to:
- engage in illegal online activities
- attempt to hack or access restricted systems
- distribute malware or harmful software
ZworkSpace does not guarantee uninterrupted internet service.
7. Conference Rooms and Shared Amenities
Members may reserve shared resources such as conference rooms and meeting spaces.
Members must:
- honor reservation times
- leave spaces clean
- avoid exceeding booking limits
ZworkSpace may suspend reservation privileges for misuse.
8. Virtual Office and Corporate Agent Services
Certain memberships include mail handling services.
Members acknowledge:
- ZworkSpace is not responsible for lost or delayed mail
- mail services may only be used for legitimate business purposes
- prohibited or illegal shipments are not allowed
ZworkSpace reserves the right to refuse or return suspicious or prohibited mail.
Members may not use the ZworkSpace address for illegal activities or to misrepresent business operations.
9. Guests and Visitors
Members are responsible for the conduct of their guests.
Guests must follow all workspace policies.
ZworkSpace may refuse entry to any individual for safety or policy reasons.
10. Security and Building Access
ZworkSpace may provide building access through:
- keycards
- key fobs
Members may not:
- duplicate access credentials
- allow unauthorized entry
- tamper with security equipment
Access privileges may be revoked immediately for violations.
11. Property and Personal Belongings
Members are responsible for their personal property.
ZworkSpace is not responsible for:
- lost or stolen property
- damaged equipment
- items left unattended
Members are encouraged to maintain appropriate business insurance.
12. Prohibited Activities
Members may not use the Site or facilities for:
- illegal activity
- harassment or discrimination
- excessive noise or disruption
- storage of hazardous materials
- unauthorized subleasing or resale of workspace
ZworkSpace may terminate memberships for violations.
13. Intellectual Property
All content on the ZworkSpace website and portal is owned by ZworkSpace.
This includes:
- trademarks
- logos
- software
- graphics
- written content
Members may not reproduce or distribute content without permission.
14. User Content
Users may submit reviews, messages, or other content.
By submitting content you confirm:
- you own the rights to the content
- the content is accurate and lawful
You grant ZworkSpace a royalty-free license to use submitted content for operating and improving the Services.
15. Privacy
Your privacy is important to us.
Information about how we collect and use data is described in our Privacy Policy.
16. SMS and Electronic Communications
By providing your phone number, you consent to receive operational communications from ZworkSpace.
These may include:
- account notifications
- booking confirmations
- workspace updates
Message frequency may vary. Message and data rates may apply.

17. Disclaimer of Warranties
The Site and Services are provided “as is” and “as available.”
ZworkSpace makes no warranties regarding:
- uninterrupted service
- accuracy of information
- suitability for a particular purpose
Use of the Site and facilities is at your own risk.
18. Limitation of Liability
To the maximum extent permitted by law, ZworkSpace will not be liable for:
- indirect or consequential damages
- lost profits
- business interruption
- loss of data
ZworkSpace’s total liability shall not exceed the amount paid by the member during the previous six months.
19. Indemnification
Members agree to defend and indemnify ZworkSpace from any claims arising from:
- misuse of the workspace
- violations of these Terms
- illegal or negligent conduct
20. Arbitration Agreement
Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration, rather than in court, except for matters that may be brought in small claims court.
Arbitration will be conducted by a neutral arbitrator under the rules of the American Arbitration Association.
The arbitration will take place in Orange County, California.
The arbitrator’s decision will be final and binding.
21. Class Action Waiver
All disputes must be brought on an individual basis only.
Members agree not to participate in:
- class actions
- class arbitration
- representative lawsuits
against ZworkSpace.
22. Changes to Terms
ZworkSpace may modify these Terms at any time.
Updated Terms will be posted on the website.
Continued use of the Services constitutes acceptance of the updated Terms.
23. Governing Law
These Terms are governed by the laws of the State of California.
Any legal proceedings not subject to arbitration must be filed in courts located in Santa Ana, California.
